BYLAWS*

ILLINOIS CHAPTER

OF

THE SOCIETY FOR PUBLIC HEALTH EDUCATION, INC.

The Illinois Chapter, Society for Public Health Education, Inc., is indebted to the leadership and distinguished services of health educators associated with the Illinois Society of Public Health Educators (ISOPHE), an organization formed in 1949. In April 1971, ISOPHE was formally disbanded and a committee appointed to investigate the procedures for the establishment of a Chapter of the Society for Public Health Education, Inc. This Constitution and Bylaws is a result of that committee's work.

ARTICLE I - NAME

This organization shall be known as the Illinois Chapter of the Society for Public Health Education, Inc., hereafter referred to as "Chapter."

ARTICLE II - PURPOSES AND FUNCTIONS


The purposes of this Chapter shall parallel those of the National Society for Public Health Education, Inc., hereafter referred to as "SOPHE," to promote, encourage, and contribute to the advancement of the health of all the people by encouraging study, improving practices, and elevating standards in the field of public health education.

The Chapter shall implement objectives, special programs, and other activities of the National Society; shall assume leadership in local provision of in-service training; shall present a professional point of view in matters of regional concern; shall interpret the professional organization to prospective Fellows, other professional groups, public and private agencies; and shall recommend policies and programs, reflected by opinions and interests of the Chapter.

ARTICLE III - MEMBERSHIP

Section 1. Membership

The membership of the Chapter shall be consistent with SOPHE, and a minimum of 15 members of the Chapter shall be Fellows in good standing of SOPHE.

Section 2. Categories of Membership

There shall be four (4) categories of membership: Fellow, Regular Member, Student Member, and Lifetime Member.

Section 3. Membership Eligibility

a. Fellow: A Fellow is an individual, working or residing in Illinois, who has dual membership in SOPHE and ISOPHE and who pays annual dues at a level set by the Board of Trustees.

b. Regular Member: A Regular Member is an individual, working or residing in Illinois, who practices health education, works in the educational field, or is an active consumer interested in joining the Chapter and who pays annual dues at a level set by the Board of Trustees.

c. Student Member: A Student Member is an individual, enrolled in an Illinois school or residing in Illinois, who is engaged in the study of public health education at the undergraduate or graduate level, is enrolled in nine or more semester hours, and who pays annual dues at a level set by the Board of Trustees.

d. Lifetime Member: A Lifetime Member is a Fellow or Regular Member, working or residing in Illinois, who pays a one-time dues payment ten times the current Fellow/Regular Member fee.

Section 4. Nondiscrimination


The Illinois Chapter of the Society for Public Health Education, Inc. shall not discriminate in its programs or membership on the basis of age, race, creed, color, gender, sexual orientation, national origin, handicap, or marital status.

Section 5. Acceptance/Revocation

a. Persons applying for fellow, regular, student, or lifetime membership may be accepted as members when they meet the eligibility requirements.

b. Membership may be denied or revoked for just cause upon a three-fourths (3/4) vote of the Board of Trustees.

c. The right of a member to vote and all other rights shall cease on the termination of membership in the Chapter.

d. Membership in the Chapter shall be continuous unless a member's resignation is received by the Secretary prior to the end of the calendar year for which dues have been paid. Any member whose dues are not paid by the time of the annual meeting shall not be considered a member in good standing. Members whose Chapter dues are unpaid for one full year shall be dropped from membership after written notice from the Secretary.

e. Members not in good standing because of nonpayment of dues may be returned to good standing by the payment of current dues. Individuals dropped from membership may be readmitted through a letter of request showing evidence of current eligibility.

f. Under special circumstances, such as health leave, educational leave, foreign or military service, a member may request to be placed on inactive status without payment of dues and may be reinstated later without penalty.

Section 6. Dues

To be in good standing, a member shall pay the required dues, as established by the Board of Trustees, prior to January 1 of each calendar year.


Dues classification shall be:

Fellows/Regular Members $ 30

Student Members $ 15 (one-half the Fellow/Regular Member fee)

Lifetime Members $300 (ten times the Fellow/Regular Member fee)

ARTICLE IV - OFFICERS

Section 1. Number of Officers

The officers of the Chapter shall be a President, President-Elect, Vice President, Secretary, and Treasurer.

Section 2. Term of Office

Officers shall begin their terms of office at the close of the fiscal year at which they are elected or appointed. The President and President-Elect shall be eligible to serve only one term in office. When the President-Elect fulfills the remainder of the term of the President, the President-Elect shall also serve the term for which elected as President. The Secretary and Treasurer shall be eligible for no more than two (2) consecutive terms in the same office.

Section 3. Duties

a. The President, as executive officer, shall perform the usual and customary duties that pertain to the office of the President. The President may appoint a Parliamentarian, who shall be an ex-officio, non-voting member of the Board of Trustees, as an advisor and shall make other appointments as provided in these bylaws including the appointment of a chairperson for each of the committees. It shall be the President's duty to present an annual budget to the Board of Trustees and shall direct the operation of the Chapter in accordance with these bylaws.

b. The President-Elect shall assist the President as presiding officer and as executive officer. Further, the President-Elect with the advice and consent of the Board of Trustees shall serve as chairperson of the annual meeting planning committee.

c. The Vice President shall coordinate all Chapter committees, serve as chairperson of the Membership Committee, and shall perform other duties as set forth in the bylaws.

d. The Secretary shall keep complete records of all proceedings of the Chapter and the Board of Trustees, shall have custody of all records except as otherwise provided for in the Procedures of the Chapter, shall notify all officers and committee members of their election or appointment, and shall perform other duties as set forth in the bylaws.

e. The Treasurer shall be the custodian of all funds of the Chapter and shall keep correct and complete books and records of all accounts. All receipts shall be deposited with the Treasurer and all usual and customary disbursements shall be paid by the Treasurer on the Chapter's account on order of the President, including all receipts and disbursements relating to the annual meeting. The Treasurer shall make a financial report at the annual meeting and at any other time the Board of Trustees so directs. The Treasurer's report, together with the necessary records, shall be bonded in the amount to be determined annually by the Board of Trustees and said costs shall be borne by the Chapter.

Section 4. Vacancies

a. A vacancy in the office of President, with less than six months to serve in the term, shall be filled automatically through succession in the following order: President-Elect, Vice President, Secretary, and Treasurer. A vacancy in the office of the President, with more than six months to serve in the term shall be filled with the appointment of a Past President to fulfill the remainder of the term as President. The Board of Trustees upon tree-fourths (3/4) majority vote shall appoint a Past President to fill the unexpired portion of the term.

b. A vacancy in the office of President-Elect, with more than six months to serve in the term, shall be filled by a special election called by the President.

c. A vacancy in the office of Secretary or Treasurer shall be filled by presidential appointment with the advice and consent of the Board of Trustees.

d. Any vacancy filled by succession in office or by appointment shall be filled by election at the next annual meeting, except the office of President.

Section 5. Eligibility

The President and President-Elect must be Fellows with good standing in SOPHE. All

officers and trustees must be members in good standing in the Chapter.

Section 6. Accession of President-Elect

The President-Elect shall automatically become President upon completion of a term as President-Elect.

ARTICLE V - NATIONAL REPRESENTATION

Section 1. Eligibility

Commencing with the 1983 election, the President shall appoint, with Board confirmation, a Chapter member who is a Fellow with good standing in SOPHE, as representative to the SOPHE House of Delegates. The National Representative may be a Chapter officer or any other Fellow of the Chapter consistent with the eligibility requirement set forth in this section. Such representative shall serve a two-year term commencing at the close of the National SOPHE Annual Business Meeting and ending at the close of the Chapter Annual Business Meeting two years hence.

Section 2. Vacancy

In the event of a vacancy in the Chapter Representative to the SOPHE House of Delegates, the President shall choose a Fellow to serve until the term expires.

ARTICLE VI - BOARD OF TRUSTEES

Section 1. Membership

There shall be a Board of Trustees composed of the officers of the Chapter, the immediate Past President of the Chapter, the SOPHE National Representative, the Parliamentarian, four (4) at-large elected trustees, and the student trustee. The officers of the Chapter shall be the officers of the Board of Trustees.

Section 2. Term of the Immediate Past President

The immediate Past President of the Chapter shall be a member of the Board of Trustees until the close of the fiscal year, which next follows retirement from the office of President.

Section 2. Vacancies

Any vacancies among at-large Board members shall be filled by Presidential appointment with the advice and consent of the Board of Trustees. The term of a Board member so appointed shall be the unexpired term of the predecessor in office.

Section 3. Meetings

a. The Board of Trustees shall hold regular meetings at such time and place as the President decides.

b. Special meetings of the Board of Trustees shall be held at such time and place as called by the President at the President's request or at the written request to the President by at least three members of the Chapter Board.

Section 4. Notice of Board Meetings

a. Notice of regular meetings of the Board including the place, day, and hour of the meeting shall be delivered to each Board member not less than ten (10) nor more than thirty (30) days before the date of the meeting.

b. Notice of special meetings of the Board including the place, day, and hour of the meeting shall be delivered to each Board member not less than five (5) nor more than fifteen (15) days before the date of the meeting.

Section 5. Duties

The Chapter Board of Trustees shall:

a. Determine the immediate and long-range goals of the Chapter.

b. Determine the time and place for meetings of the Chapter Board and the Chapter membership.

c. Approve the appointment of necessary committees to carry out the functions and program of the Chapter.

d. Oversee the financial affairs of the Chapter, and approve and authorize all unusual extraordinary expenditure of Chapter funds.

e. Establish and recommend a dues structure to be submitted to a vote of the membership at the annual meeting.

f. In case of a tie, elect by secret ballot, an officer or Board member

g. Manage the affairs of the Chapter and make an annual report of its activities to the membership and to SOPHE.

h. Charge, maintain liaison with, and accept reports from the following committees: nominations, membership, program/continuing education, legislative, awards, auditing, and such other committees as necessary.

ARTICLE VII - NOMINATION AND ELECTION OF TRUSTEES AND OFFICERS

Section 1. Nomination

The immediate Past President of the Chapter shall serve as the chairperson of the Nominating Committee. The Nominating Committee shall prepare a double slate for each office except President and National Representative. This slate shall be submitted to the Board of Trustees for approval and the ballot mailed to the Chapter membership at least 90 days prior to the end of the calendar year and will contain space and instructions for write-in candidates.

Section 2. Elections

The officers and elective trustees of the Chapter shall be elected by the members of the Chapter from among the active membership. The vote shall be cast on an official ballot. A plurality shall elect. In case of a tie, the Board of Trustees shall choose by secret ballot between the candidates who have an equal number of votes. Announcements of the results of the voting shall be sent to all Chapter members.

Section 3. Trustees Running for Office

Any Trustee running for Chapter office must resign as Trustee if elected.

ARTICLE VIII - COMMITTEES

Section 1. Nominating

The Nominating Committee shall be appointed by the President each year with the approval of the Chapter Board of Trustees and shall consist of at least three members in good standing, the Chairperson being the immediate Past-President of the Chapter.

Section 2. Membership

The Membership Committee shall be appointed by the President each year with the approval of all Chapter Board of Trustees and shall concern itself with matters related to the recruitment and maintenance of membership. The Committee shall consist of at least three members in good standing. The Chairperson shall be the Vice-President.

Section 3. Program/Continuing Education Committee

The Program/Continuing Education Committee shall be chaired by the President-Elect and include the immediate Past President plus a minimum of three other members appointed by the President with the approval of the Chapter Board of Trustees. It shall be responsible for planning the program of the annual meeting. It shall also be responsible for developing in-service, continuing education, and other opportunities for the membership.

This committee and/or chairperson shall provide a written report of the annual meeting program and Fall Conference for distribution to all members.

Section 4. Legislative

The Legislative Committee shall be appointed by the President each year with the approval of the Chapter Board of Trustees and shall consist of at least three members in good standing. This committee is charged with undertaking a concerted effort concerning health and health education related to legislative issues; formulating recommendations to the membership regarding positions on issues; and on behalf of the Chapter, developing a liaison with state legislators.

Section 5. Awards Committee

The Awards Committee shall be composed of the Board of Trustees. The Past President shall serve as chairperson of this committee. The Chapter may authorize two outstanding service awards annually. The decision to give no award, one award or two awards will be made by the Committee.

Section 6. Auditing

The Chapter President shall appoint an Auditing Committee with the approval of the Chapter Board of Trustees. This committee shall be composed of three members of the Chapter who shall audit the books of the Treasurer and report at the annual meeting.

Section 7. Additional Committees

Other committees may be appointed from time to time as needed. All appointments shall be made by the President with the approval of the Chapter Board of Trustees.

Section 8. Reports

Each committee shall be responsible for conducting and reporting its own business. Each committee is to make a written report at each regular meeting of the Board of Trustees.

Section 9. Chairperson of Committees

The chairperson of each committee, when possible, shall have been a member of that committee the previous year unless otherwise designated by the Constitution and Bylaws. The chairperson of each committee except the Nominating Committee and Membership Committee shall be selected by the President.

ARTICLE IX - MEETINGS

Section 1. Annual Meeting

There shall be at least two meetings of the Chapter membership per year; one such meeting, designated the Annual meeting. A report of the Annual Meeting shall be sent to the Executive Director of SOPHE along with a list of the current Chapter members.

Section 2. Other Meeting

At least one meeting shall be held per year in addition to the annual meeting. The specific time and place will be determined by the Chapter Board of Trustees.

ARTICLE X - FINANCES

Section 1. Fiscal Year

The fiscal year of the Chapter shall be the calendar year beginning on January 1 and ending on December 31 of the same year.

Section 2. Auditing

An annual audit of the books of the Treasurer shall be made by the Auditing Committee of the Chapter, and a report made by the committee at the Annual Meeting.

ARTICLE XI - AMENDMENTS

Section 1. Initiation

Proposed amendments to the Bylaws may be initiated by the Board of Trustees or any five members.

Section 2. Method of Voting

Amendments shall be presented in writing to the Secretary. Proposed amendments shall be mailed to all members of the Chapter. Proposed amendments shall become operative immediately when approved by a majority vote of the membership responding to a mailed ballot within 30 days, provided 15 percent of the membership shall have replied. Lacking a 15 percent vote, the proposed amendment shall be considered at the next Annual Meeting or Fall Conference, where a majority vote of those attending will be required. Announcement of the results of the voting shall be presented at the Annual Meeting or Fall Conference and in subsequent ISOPHE correspondence.

ARTICLE XII - PARLIAMENTARY AUTHORITY

Any rules of parliamentary procedures not covered by this Constitution and Bylaws shall be governed by the latest edition of Robert's Rules of Order.
